We invite our shareholders to the Annual General Meeting of BELANO medical AG, which will take place on Wednesday, June 30, 2021, at 4.00 p.m. MEST.

In the light of the still ongoing COVID-19 Pandemic, the Executive Board with approval by the supervisory board has decided to hold the Annual General Meeting without the physical presence of the shareholders or their proxies as a virtual Annual General Meeting and to enable the shareholders to exercise their voting rights via electronic communication and the issuing of proxies. The legal basis for this is Section 1(1) and (2) of the German Act on Measures in Corporate, Cooperative, Association, Foundation and Residential Property Law to Combat the Effects of the COVID-19 Pandemic of 27 March 2020, as amended by law of 22 December 2020 (“COVID-19 Act”), the applicability of which was extended until 31 December 2021 by the Regulation on the Extension of Measures in Corporate, Cooperative, Association and Foundation Law to Combat the Effects of the COVID-19 Pandemic of 20 October 2020. The entire General Meeting will be broadcast by audiovisual means in the online service. The venue of the General Meeting within the meaning of the German Stock Corporation Act (AktG) is at Belano Medical AG, Neuendorfstrasse 19, 16761 Hennigsdorf, Germany.

Of the total of 155.036 no-par value registered shares issued by the Company, all are entitled to vote at the time this Annual General Meeting is convened. Each no-par value registered share grants one vote at the Annual General Meeting. Different classes of shares do not exist. Hence, the total number of shares and voting rights at the time of convening the Annual General Meeting amounts to 155.036.

Discharge of the members of the Executive Board

The Executive Board and Supervisory Board propose that the members of the Executive Board who have served in the 2020 financial year, in particular Dr. Bernd Wegener, Prof. Dr. Christine Lang and Mr. Johannes Lang, shall be granted discharge for this period.

Agenda item 3
Discharge of the members of the Supervisory Board

The Executive Board and Supervisory Board propose that the members of the Supervisory Board who have served in the business year 2020, namely Mr. Renke Lührs, Mr. Joachim Lang (till May 27, 2020), Mr. Gerardo Gutierrez-Fuentes, Mr. Henning Fahrenkamp and Ms. Isabell Ahrends-Fath (from May 27,2020) shall be granted discharge for this period.
