Bekanntmachung gemäß § 20 Abs. 6 AktG

Announcement pursuant to section 20 para 6 of the German Stock Corporation Act ( Aktiengesetz, AktG ):

Die Renesas Electronics Europe GmbH, mit Sitz in Düsseldorf und die Renesas Electronics Corporation mit Sitz in Tokyo, Japan, haben uns gem. § 20 Abs. 1 und Abs. 4 AktG Folgendes mitgeteilt:

Renesas Electronics Europe GmbH with registered seat in Düsseldorf and Renesas Electronics Corporation with seat in Tokyo, Japan, have notified us of the following in accordance with Sec. 20 Para. 1 and 4 AktG:

1.	Der Renesas Electronics Europe GmbH gehören unmittelbar sämtliche Aktien der Gesellschaft und damit sowohl mehr als der vierte Teil der Aktien als auch eine Mehrheitsbeteiligung i.S.d. § 16 Abs. 1 AktG.
2.	Der Renesas Electronics Corporation gehören mittelbar sämtliche Aktien der Gesellschaft und damit mittelbar sowohl mehr als der vierte Teil der Aktien als auch eine Mehrheitsbeteiligung i.S.d. § 16 Abs. 1 AktG, da ihr die unmittelbar der Renesas Electronics Europe GmbH gehörenden Aktien gem. § 16 Abs. 4 AktG zuzurechnen sind.

1.	Renesas Electronics Europe GmbH directly owns all shares in the company as sole shareholder and thus both more than the fourth part of the shares and a majority shareholding within the meaning of Sec. 16 Para. 1 AktG.
2.	Renesas Electronics Corporation indirectly owns all shares in the company and thus indirectly owns both more than the fourth part of the shares and a majority shareholding within the meaning of sec. 16 para. 1 AktG, since the shares directly owned by Renesas Electronics Europe GmbH are attributable to it pursuant to Sec. 16 Para. 4 AktG.
